Terms of Service

English version prevails. In case of any discrepancy between this version and any translation, the English version governs.

1. Introduction and Acceptance

1.1 These Terms of Service ("Terms") form a binding agreement between you ("you", "Client", "Subscriber") and ZeroCorp Pte. Ltd., a company incorporated in the Republic of Singapore (ACRA registration in progress), with its website at zerocorp.live ("ZeroCorp", "we", "us").

1.2 By creating an account, purchasing any plan, or using any ZeroCorp service, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Refund Policy, which are incorporated by reference.

1.3 If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not have such authority, you must not use the Service.

1.4 ZeroCorp is a "zero-human company": our platform, operations, support, and billing are operated by autonomous AI agents. All contractual obligations under these Terms are nonetheless binding legal obligations of ZeroCorp.

2. Definitions

In these Terms:

"Add-ons" means optional services, integrations, credits, or features purchased separately from an EAP plan or subscription, as listed on our pricing page.

"AI Agents" means the autonomous software agents provided as part of the Service that execute tasks on your behalf.

"Control-Plane Data" means account, authentication, and billing data processed by ZeroCorp centrally to operate the Service.

"EAP" means the Early Access Program, a one-time payment plan granting Service for a fixed term of three (3) years.

"EAP Term" means the three-year service commitment period of an EAP plan, starting on the purchase date.

"Data-Plane" means the isolated environment (including each Client’s dedicated VPS) in which a Client’s business data and AI Agents operate.

Paddle means Paddle.com Market Ltd and its affiliates, ZeroCorp's payment processing partner.

"Service" means the ZeroCorp AI-powered business automation platform, including AI Agents, dashboards, VPS provisioning, integrations, and related features.

"Subscription" means a recurring monthly plan purchased under Section 6.

3. Eligibility and Accounts

3.1 You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

3.2 You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for safeguarding your account credentials and for all activity under your account.

3.3 You must notify us immediately of any unauthorized use of your account. ZeroCorp may suspend accounts created with false information or suspected of fraud.

4. The Service

4.1 The Service provides autonomous AI Agents (including, but not limited to, CEO, COO, and CMO agents) that perform business operations on your behalf within your dedicated, isolated VPS.

4.2 Data architecture. ZeroCorp operates a split data model:

Control-plane (authentication, billing, account data) is processed by ZeroCorp centrally.

Data-plane (your business data, customer information, AI-generated content) is stored and processed in your dedicated VPS. ZeroCorp does not host or store your business data on shared infrastructure.

4.3 You retain full ownership of all data, content, and intellectual property created by your AI Agents. ZeroCorp does not claim ownership over your business data, customer information, or AI-generated content.

4.4 The Service is provided "as-is" and "as-available" (see Section 15). ZeroCorp does not guarantee specific business outcomes, revenue, or results from the use of AI Agents.

5. Early Access Program (EAP)

5.1 One-time payment, three-year commitment. The EAP is a one-time payment plan that grants access to the Service for a fixed EAP Term of three (3) years from the purchase date ("Pay Once, Get 3 Years"). EAP tiers and pricing are listed on our pricing page.

5.2 ZeroCorp's service commitment. During the EAP Term, ZeroCorp commits to providing the Service and all feature updates to the EAP plan. If ZeroCorp discontinues the Service or is unable to provide it before the end of the EAP Term for reasons attributable to ZeroCorp, you will be entitled to a refund of the unused portion of the EAP amount on a prorated basis, calculated from the date of discontinuation (see Refund Policy, Section 3.3).

5.3 No recurring fees during the EAP Term. The EAP purchase covers the EAP plan for the full EAP Term with no monthly or annual recurring charges for the EAP plan itself.

5.4 Add-ons are NOT included in the EAP. Add-ons are excluded from the EAP purchase price and are not covered by the EAP Term. Add-ons must be purchased separately and are billed according to their own pricing, which may be recurring. Termination, expiry, or refund of an EAP plan does not automatically cancel, refund, or extend Add-ons. Add-on refunds are governed by Section 4 of the Refund Policy.

5.5 EAP refunds. EAP purchases are subject to the refund terms in the Refund Policy (15-day window, 15% administration fee).

5.6 EAP renewal. After the EAP Term ends, continued use of the Service requires conversion to a Subscription at then-current pricing. ZeroCorp will notify you before the end of the EAP Term.

6. Subscriptions and Billing

6.1 ZeroCorp offers monthly Subscription plans (including Starter, Small, Medium, and Pro, as described on our pricing page). Each plan includes a defined set of AI Agents and features.

6.2 Subscriptions are billed monthly in advance. You may cancel your Subscription at any time through your dashboard; the Service continues until the end of the current billing period, and unused amounts are refunded on a prorated basis in accordance with the Refund Policy.

6.3 Price changes for Subscriptions will be communicated at least thirty (30) days in advance and apply from the next billing period after the notice period.

7. Payment Processing (Paddle)

7.1 All payments are processed securely by Paddle. By purchasing, you agree to Paddle's terms and privacy policy for payment processing.

7.2 Where Paddle acts as merchant of record, the sale of the relevant product is concluded with Paddle, and Paddle handles payment, applicable taxes (VAT, GST, sales tax), and refunds in accordance with its own policies. These Terms govern the provision and use of the Service itself.

7.3 Prices are listed in US Dollars (USD). Applicable taxes are added at checkout based on your location.

7.4 You authorize Paddle to charge the payment method you provide for all fees due. You are responsible for keeping your payment method valid.

8. Add-ons

8.1 Add-ons are optional and may be one-time or recurring. They are not part of any EAP plan (Section 5.4) and are billed separately.

8.2 We may add, change, or discontinue Add-ons with reasonable notice, provided that changes do not affect Add-ons already purchased for the duration of their term.

8.3 Add-on refunds are governed by Section 4 of the Refund Policy.

9. Acceptable Use

You agree not to use the Service to:

9.1 Engage in illegal activities or violate applicable laws, regulations, or court orders;

9.2 Misrepresent AI Agents as human employees or create deceptive, fraudulent, or misleading content;

9.3 Distribute malware, spam, phishing, or other harmful content;

9.4 Infringe the intellectual property, privacy, or other rights of third parties;

9.5 Violate the policies of third-party platforms, including Google Ads, Meta Ads, or other platform policies;

9.6 Attempt to access, probe, or compromise the infrastructure, other clients' VPS environments, or any system ZeroCorp does not own or license to you;

9.7 Resell, sublicense, or transfer the Service (except as explicitly permitted by ZeroCorp).

ZeroCorp may suspend or terminate accounts that violate this Section (see Section 17).

10. AI Agents — Operation, Disclaimer, and Responsibility

10.1 Your AI Agents operate within your dedicated VPS. They:

execute tasks based on your configuration and instructions;

access integrated services (e.g., Google Workspace, Google Ads) only with your authorization;

operate autonomously within the bounds you set; and

clearly identify themselves as AI when interacting with third parties.

10.2 AI disclaimer. AI Agents and their outputs (including content, reports, emails, and marketing materials) are generated by machine learning models and may contain errors, inaccuracies, omissions, or outdated information. ZeroCorp does not warrant the accuracy, completeness, or fitness for any purpose of AI-generated outputs, and does not guarantee that any output will achieve any particular result.

10.3 Client responsibility. You are solely responsible for:

configuring and instructing your AI Agents appropriately;

reviewing AI-generated outputs before publication or use;

complying with applicable laws in your jurisdiction, including consumer protection, advertising, and data protection laws;

all decisions and actions taken based on AI Agent outputs; and

the conduct of your AI Agents toward third parties.

10.4 You acknowledge that ZeroCorp's "zero-human" model is transparently communicated, and that all interactions with AI Agents are labeled as AI-generated. You agree not to remove or obscure AI identification labels.

11. Data Ownership, Processing, and Privacy

11.1 You retain all rights in your data. ZeroCorp acts as a data intermediary / processor with respect to your business data in the Data-Plane, and as a controller with respect to Control-Plane Data (account, authentication, and billing information) necessary to operate the Service.

11.2 ZeroCorp does not use your business data to train public AI models. Only data necessary to operate the Service may be processed by ZeroCorp or its sub-processors, subject to the Privacy Policy.

11.3 Your data is encrypted at rest and in transit, stored in your isolated VPS, and deleted in accordance with the Retention section of the Privacy Policy.

11.4 Access to your VPS. ZeroCorp may access your VPS only (a) to provision, maintain, secure, or troubleshoot the Service; (b) with your authorization for support; or (c) to comply with applicable law. ZeroCorp will use such access only to the extent necessary and, where feasible and lawful, will notify you in advance. You are responsible for securing any credentials you share with ZeroCorp.

12. Service Level and Availability

12.1 ZeroCorp's AI Agents operate 24/7. ZeroCorp uses commercially reasonable efforts to maintain high availability, but does not guarantee uninterrupted or error-free service.

12.2 Occasional downtime may occur due to scheduled maintenance, infrastructure issues, third-party failures (including hosting and AI model providers), or factors beyond ZeroCorp's reasonable control. ZeroCorp will make reasonable efforts to notify you of scheduled maintenance at least 24 hours in advance.

12.3 The Service depends on third-party providers (including hosting and AI model providers). ZeroCorp is not liable for failures of third-party services outside ZeroCorp's control, subject to applicable law.

13. Fees, Taxes, and Payment Default

13.1 All fees are due as set out on the pricing page or in your order. Late or non-payment of Subscription or Add-on fees may result in suspension or termination of the affected services.

13.2 You are responsible for all taxes applicable to your purchase, unless Paddle (as merchant of record) collects them on your behalf at checkout.

13.3 EAP fees are non-refundable after the refund window set out in the Refund Policy, except as expressly provided in Section 5.2 and the Refund Policy.

14. Intellectual Property

14.1 The Service, including the ZeroCorp platform, software, AI Agents, dashboards, documentation, and branding, and all related intellectual property, are owned by ZeroCorp or its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your business purposes during the applicable term.

14.2 You may not copy, modify, reverse engineer, or create derivative works of the Service, except as permitted by mandatory law.

15. Limitation of Liability

15.1 As-is basis. The Service is provided "as-is" and "as-available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

15.2 Exclusion of damages. To the maximum extent permitted by applicable law, ZeroCorp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising out of or in connection with the Service, even if ZeroCorp has been advised of the possibility of such damages.

15.3 Cap on liability. To the maximum extent permitted by applicable law, ZeroCorp's total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the greater of (a) the amounts paid by you to ZeroCorp in the twelve (12) months preceding the event giving rise to the claim, or (b) for EAP purchases, the amount you actually paid for your EAP plan.

15.4 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including fraud, gross negligence, willful misconduct, or liability for death or personal injury caused by negligence.

15.5 Because your business data resides in your dedicated VPS and you control access to it, ZeroCorp is not liable for loss, corruption, or unauthorized access to your data arising from your actions, your failure to secure credentials, or events outside ZeroCorp's control.

16. Indemnification

You agree to indemnify, defend, and hold harmless ZeroCorp and its officers, directors, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of applicable laws; (d) the actions or outputs of your AI Agents; or (e) any third-party claim arising from your data or content.

17. Suspension and Termination

17.1 By you. You may cancel your Subscription or terminate your account at any time through your dashboard or by contacting us. Termination of Subscriptions is effective at the end of the current billing period, subject to the Refund Policy.

17.2 By ZeroCorp. ZeroCorp may suspend or terminate the Service immediately if you: (a) violate these Terms; (b) engage in fraudulent or illegal activity; (c) fail to pay fees when due; or (d) take actions that harm the platform, other clients, or third parties.

17.3 Effect of termination. Upon termination, your access to the Service ends and your VPS and related data are decommissioned in accordance with the Privacy Policy (retention of 30 days after termination, subject to legal obligations).

17.4 EAP early termination by ZeroCorp. If ZeroCorp terminates an EAP plan for a reason attributable to ZeroCorp, you are entitled to a prorated refund of the unused EAP amount as set out in Section 5.2 and the Refund Policy.

18. Force Majeure

Neither party shall be liable for delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond the party's reasonable control, including natural disasters, acts of government, war, terrorism, pandemics, power failures, internet outages, or failures of third-party infrastructure or model providers, provided the affected party uses reasonable efforts to mitigate the impact.

19. Governing Law and Dispute Resolution

19.1 Governing law. These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of the Republic of Singapore.

19.2 Dispute resolution. The parties will first attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days. If the dispute is not resolved, the parties will submit the dispute to the courts of Singapore, which shall have exclusive jurisdiction, subject to any mandatory consumer-protection rights that cannot be waived in your jurisdiction of residence.

20. Changes to These Terms

20.1 ZeroCorp may update these Terms from time to time. Material changes will be notified by email or through the platform at least thirty (30) days before they take effect, where reasonably practicable.

20.2 Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not accept the changes, you may terminate your account before the effective date.

21. General Provisions

21.1 Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and ZeroCorp regarding the Service and supersede all prior agreements and understandings.

21.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

21.3 Waiver. No failure or delay by ZeroCorp in exercising any right under these Terms constitutes a waiver of that right.

21.4 No assignment. You may not assign or transfer your rights under these Terms without ZeroCorp's prior written consent. ZeroCorp may assign these Terms in connection with a merger, acquisition, or sale of assets, provided the assignee assumes ZeroCorp's obligations.

21.5 Language. These Terms are provided in English. In the event of any conflict between translated versions and the English version, the English version prevails.
