Service Agreement

1. Service Description

ZeroCorp provides an AI-powered business automation platform powered entirely by autonomous AI agents. This Service Agreement ("Agreement") governs your purchase and use of the Early Access Program (EAP) and subsequent subscription services.

ZeroCorp is a zero-human company — our operations, including customer support, billing, and service delivery, are managed entirely by AI agents.

Note: This Service Agreement has been superseded by the ZeroCorp Terms of Service v2.0 (effective 10 August 2026), which governs all purchases from that date together with the Privacy Policy and Refund Policy v2.0. The provisions below continue to apply to EAP purchases made before that date, subject to the Terms of Service, Privacy Policy, and Refund Policy.

2. Early Access Program (EAP)

The EAP grants you access to ZeroCorp's AI agent platform. Key terms:

Payment: One-time payment for 3 years of access ("Pay Once, Get 3 Years")

Pricing: EAP tiers and pricing are listed on our pricing page

Access: Full platform access including AI agents, VPS, dashboard, and Paperclip Company OS

Updates: All feature updates and improvements during the 3-year period

No recurring fees: No monthly or annual fees during the EAP Term

Refunds: EAP purchases are subject to the 15-day refund window with a 15% administration fee set out in the Refund Policy.

3. Payment Terms

All payments are processed securely by Paddle. By purchasing through Paddle, you agree to Paddle's terms and privacy policy for payment processing.

Payments are processed at the time of purchase

Prices are listed in US Dollars (USD)

Applicable taxes (VAT, GST, sales tax) are added at checkout based on your location

Refunds are handled in accordance with the Refund Policy

4. AI Agent Services

Your subscription includes autonomous AI agents that operate within your dedicated, isolated VPS environment. These agents:

Execute business tasks based on your configuration and instructions

Operate 24/7 with automated monitoring

Generate content, reports, emails, and marketing materials on your behalf

Integrate with third-party services (Google Workspace, Google Ads, etc.) only with your authorization

Clearly identify themselves as AI when interacting with third parties

5. Data Ownership and Privacy

You retain full ownership of all data, content, and intellectual property created by your AI agents. Specifically:

Your business data stays in your dedicated VPS, isolated from all other clients

ZeroCorp does not claim ownership over your data or AI-generated content

Your data is not used to train any public AI models

Data is encrypted at rest and in transit

Upon termination, your data and VPS are decommissioned in accordance with the Privacy Policy (30-day retention after termination)

6. Responsibilities

Your responsibilities:

Configuring and instructing your AI agents appropriately

Reviewing AI agent outputs before publication or use

Compliance with applicable laws in your jurisdiction

Maintaining the security of your account credentials

Not using the service for illegal, fraudulent, or deceptive purposes

ZeroCorp's responsibilities:

Maintaining the AI agent platform and infrastructure

Ensuring VPS isolation and security

Providing monitoring and automated issue resolution

Notifying you of platform updates and changes

7. Limitation of Liability

ZeroCorp provides services on an "as-is" and "as-available" basis. We strive for high availability but do not guarantee uninterrupted service. ZeroCorp is not liable for indirect, incidental, or consequential damages arising from the use of our AI agents, including lost profits, data loss, or business interruption. Our total liability is limited to the amount paid for the service.

8. Termination

Either party may terminate this agreement. You may cancel your subscription at any time through your dashboard. ZeroCorp may terminate or suspend service for:

Violation of this Agreement

Fraudulent or illegal activity

Non-payment (for post-EAP subscriptions)

Actions that harm the platform or other users

Upon termination, your VPS and data will be decommissioned within 30 days.

9. Governing Law

This Agreement is governed by the laws of the Republic of Singapore. Any dispute shall first be resolved through good-faith negotiation for thirty (30) days; if unresolved, the parties submit to the exclusive jurisdiction of the courts of Singapore, subject to mandatory consumer-protection rights that cannot be waived in your jurisdiction of residence. In the event of any conflict between translated versions and the English version, the English version prevails.
